  3.                             LICENSE AGREEMENT
  4.  
  5. DEFINITIONS
  6. -----------
  7. The following definitions apply to the terms as they appear in this agreement:
  8.  
  9.    * "Socha" means Socha Computing, Inc.
  10.    * "Product" means the computer program, all associated files, and all
  11.      updates to the computer program.  The term also includes all copies of
  12.      any part of the computer program.
  13.    * "License" means this Socha License Agreement.
  14.    * "Comercially Distribute" means to distribute for money or other
  15.      consideration.  It includes copying onto magnetic disks, CD-ROMs or any
  16.      other tangible medium now or subsequently known, and distribution by
  17.      retail rack, direct mail, catalog, advertisement, or trade show.  It does
  18.      NOT include distribution by any not-for-profit organization, by any
  19.      hobby, user or computer interest group to its members, or electronically
  20.      by any BBS, provided that electronic distribution includes fees only for
  21.      connect and/or monthy service charges.

  23. LICENSE
  24. -------
  25. You may freely use this Product, subject to the restrictions of this License.

  28. COMMERCIAL DISTRIBUTION
  29. -----------------------
  30. You may Commercially Distribute the Product under this License provided you
  31. honor the terms of this License.
  32.  
  33. In all cases where you Distribute the Product, you must include the Product
  34. and all related files. You may not modify or remove any files, including all
  35. program and data files, all documentation, including LICENSE.TXT, VENDER.DOC,
  36. FILEID.DIZ, and ORDER.WRI.

  38. 1. DISTRIBUTION BY MODEM
  39.    Socha encourages all bulletin board systems and on-line services to
  40.    distribute the Product as long as no files are altered or removed, and
  41.    provided that:
  42.  
  43.         a) Socha Computing, Inc. is credited as the publisher of the Product.
  44.         b) The file is identified as shareware.
  45.         c) The shareware concept is explained elsewhere on-line.
  46.         d) You charge less than $9 for downloading the Product.

  48. 2. CD-ROMS AND MULTI-DISK PACKS
  49.    In order to distribute the Product on a CD-ROM or in a pack of several
  50.    disks, you need to follow these terms in addition to the other terms of
  51.    the License:
  52.  
  53.         a) Explain the shareware concept and describe the Product as
  54.            shareware.
  55.         b) Credit Socha Computing, Inc. as the publisher of the Product in
  56.            all catalogs and program descriptions.
  57.         c) The entire CD-ROM of multi-disk pack may contain no more than
  58.            a total of 10 programs (not including install programs or support
  59.            utilities).
  60.         d) The front cover of the packaging must contain the word "Shareware"
  61.            in large type.
  62.         e) The name "Socha Computing" as well as the name "Africa Screen
  63.            Saver(tm)" must appear on the front cover in large type.
  64.         g) No files may be modified or deleted, and no files may be added to
  65.            the Product.
  66.         h) You must send Socha a copy of the CD-ROM or multi-disk pack as
  67.            soon as it has been manufactured.
  68.  
  69.    The reason for all these restrictions is very simple.  Our Product is a
  70.    very high quality, try-before-you-buy commercial product.  We very much
  71.    appreciate having our Product included with other high-quality shareware
  72.    products.  However, we don't want to be included on a disk with thousands
  73.    of other programs where the quality can vary from great to dismal.
  74.  
  75. 3. DISTRIBUTION IN A RETAIL ENVIRONMENT
  76.    You may distribute the Product in the retail environment provided that:
  77.  
  78.         a) The front cover of the packaging contains the word "Shareware"
  79.            in large type.
  80.         b) The name "Socha Computing" as well as the name "Africa Screen
  81.            Saver(tm)" appears on the front cover in large type.
  82.         c) You send Socha a copy of the product, complete with packaging and
  83.            the disk, as soon as it has been manufactured.
  84.         d) The "retail" price for this product does not exceed $7.
  85.         e) You SEND US THE ARTWORK FOR APPROVAL before publishing the Product
  86.            as a retail prodcut.  Please send all artwork by Federal Express
  87.            or other overnight courier.

  89. 4. OTHER DISTRIBUTION
  90.    For all other types of distribution, please contact Socha Computing at
  91.    the address at the end of this file.

  93. LICENSE RESTRICTIONS
  94. --------------------
  95. You may use this Product on any computer, provided that you do not:
  96.  
  97.    *  Translate the Product.
  98.    *  Merge the Product with another program or modify the Product.
  99.    *  Reverse-engineer, disassemble, decompile, or make any attempt to
  100.       discover the source code of the Product.
  101.    *  Sublicense, rent, or lease any portion of the Product.
  102.  
  103. Copyright/Proprietary Protection
  104. --------------------------------
  105. The Product is owned by Socha Computing, Inc. and is protected by United States
  106. and international copyright laws and international treaty provisions. You must
  107. treat the Product like any other copyrighted material, except to the extent
  108. that this License provides to the contrary. Your right to use the Product
  109. terminates automatically if you violate any part of this License. In the event
  110. of termination, you must immediately destroy all copies of the Product or
  111. return them to Socha.

  113. Limited Warranty
  114. ----------------
  115. THE PRODUCT IS PROVIDED "AS-IS".  SOCHA DISCLAIMS ALL WARRANTIES, EITHER
  116. EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF
  117. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE
  118. PRODUCT.

  120. NO LIABILITY FOR CONSEQUENTIAL DAMAGES
  121. In no event shall Socha or its suppliers be liable for any damages whatsoever
  122. (including, without limitation, damages for loss of profits, business
  123. interruption, loss of information, or other pecuniary loss) arising out of the
  124. use of or inability to use the Product, even if Socha has been advised of the
  125. possibility of such damages.  Because some states do not allow the exclusion
  126. or limitation of liability for consequential or incidental damages, the above
  127. limitation may not apply to you.  The foregoing limitations of warranty and
  128. liability inure to the benefit of Socha's licensors having an interest in the
  129. Product.
